Terms of Service

1. Service Provider

Human.Exe is operated by ALSI Inc., a corporation incorporated under the federal laws of Canada (OCN 1001543070), with its principal place of business in Toronto, Ontario. References to "we", "us", or "our" in these Terms refer to ALSI Inc. References to "you" or "your" refer to the individual or entity accessing or using the Service.

2. The Service

Human.Exe is a consumer-facing governance technology platform (the "Service") accessible at human-exe.ca. The platform delivers subscription-based access to a structured AI governance layer, published content (blog, podcast, and audio), a book series catalog, merchandise, and the Intelligence Scholarship and Attention Wave access programs.

For Developer, Principal, Operator, Director, Command, Builder, and Enterprise tier subscribers ("Developer Tiers"), the Service additionally functions as a governed inference layer between your application and third-party AI providers — enabling governed routing, session coherency tracking, and structural audit trail generation.

For Observer, Citizen, and Scholar tier subscribers ("Consumer Tiers"), the Service provides content access, Intelligence Scholarship curriculum, and platform features appropriate to the subscribed tier. No AI provider API key is required for Consumer Tiers.

3. Pre-Launch Status

The Service is currently in pre-launch phase. Access is limited and granted by invitation or approval only. During pre-launch, features, pricing, API structures, and availability are subject to change without notice. Nothing in these Terms constitutes a commitment to service continuity, uptime, feature availability, or pricing during the pre-launch period.

The current state of the platform reflects what has been achievable within the founder's available capital. Development is ongoing and incremental. Certain features, integrations, and service tiers described on the site represent intended direction and are not yet fully implemented. The pace of delivery is directly constrained by available funding and resources. ALSI Inc. makes no representation regarding timelines for feature completeness.

3A. API & Platform: Proof of Concept

The Human.Exe API and its associated platform features — including governed inference routing, session coherency, audit-trail generation, ad-revenue endpoints, financial reporting, and scholarship and pathway systems — are provided as a working proof of concept. They demonstrate the structural viability of governed AI delivery but are not production-grade services at this time.

Specifically, you should be aware of the following:

  • API endpoints may return incomplete, placeholder, or simulated data
  • Provider integration slots (AI inference, Intelligence Scholarship, Attention Wave) are currently stubs awaiting third-party provider onboarding and capital to operationalize
  • Authentication, billing, and subscription enforcement are partially implemented
  • Uptime, rate limiting, and throughput are not guaranteed and no SLA is offered
  • Endpoint schemas, response formats, and route structures may change without notice or versioning during the proof-of-concept phase
  • No data persistence guarantees exist — sessions, audit trails, and stored records may be reset during development cycles

Do not build production dependencies on this API in its current state. The proof of concept exists to demonstrate architecture, not to provide a stable integration target.

3B. Intended Products & Future Services

ALSI Inc. intends to develop and operate a full-scale AI service provider built on structural governance — including governed inference hosting, coherency-audited model routing, a governed API marketplace, and enterprise governance integration tooling. These represent the long-term product vision for Human.Exe and ALSI Inc.

These intended products do not yet exist. Their development is contingent on securing adequate funding, infrastructure partnerships, and operational capacity. References to future capabilities anywhere on the platform — including the projection page, tier descriptions, documentation, and marketing materials — describe intent, not commitments. No timeline is promised or implied.

You should not purchase a subscription, make financial decisions, or enter into agreements with third parties based on the assumption that any described future feature or service will be delivered on any particular schedule, or at all.

4. Account Access and Eligibility

Access to the Service may require registration. You must provide accurate information and keep your credentials secure. You are responsible for all activity that occurs under your account. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service.

ALSI Inc. reserves the right to suspend or terminate access to the Service at any time, for any reason, including but not limited to violation of these Terms, with or without notice during the pre-launch phase.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable federal, provincial, or local laws or regulations
  • Attempt to circumvent, interfere with, or disable the governance architecture
  • Reverse engineer, decompile, or extract proprietary methodology from the Service
  • Use the Service to train, fine-tune, or benchmark competing AI governance systems without written consent
  • Submit harmful, unlawful, or deceptive content through the Service
  • Systematically scrape, crawl, or automate access to the Service without written consent
  • Share account credentials or allow access by unauthorized third parties

6. Intellectual Property

The Service, including all source code, governance algorithms, architecture methodology, documentation, branding, and related materials, is the exclusive property of ALSI Inc. and is protected under Canadian and international copyright, trade secret, and intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service beyond the limited right to access and use it as described herein. Any feedback, suggestions, or improvement requests you submit may be used by ALSI Inc. without compensation or attribution to you.

7. AI Provider API Keys

This section applies to Developer Tier subscribers who provide their own third-party AI provider API keys to access governed inference features.

You retain full ownership of your AI provider API keys. By using governed inference features, you grant ALSI Inc. the limited, temporary right to use your provider API keys solely to perform governed inference requests on your behalf. Keys are not stored beyond the duration of a request. ALSI Inc. does not sell, share, or retain provider API keys.

8. Governing AI Decisions

The Human.Exe governance layer applies structural constraints to AI inference requests. While these constraints are designed to improve reliability, coherency, and traceability, ALSI Inc. does not guarantee any particular outcome, accuracy, or fitness for a given purpose of any AI-generated response. You are solely responsible for how you use AI-generated outputs.

9. Waivers

Certain tiers and activities require signed waivers before access is granted.

Liability Waiver. Required for Developer, Builder, and Enterprise tiers. Acknowledges that Human.Exe structures the inference process but does not control the underlying AI model. You bring your own provider API key — we route, analyse, and audit, but provider-side behaviour is outside our boundary.

Cognitive Waiver. Required for any complex structured inquiry — including mentorship pathways, multi-domain engagement, advanced governed sessions, and any interaction that invokes a structured multi-domain governed session workflow. Acknowledges the structural nature of the governance process: outputs are shaped by governed routing, not by a single model or provider. You accept that cognitive outputs reflect the governance architecture and that inference is routed, audited, and constrained across domains. Paired with NDA by default.

Waiver documents will be provided during the onboarding process for the applicable tier or pathway. ALSI Inc. reserves the right to require additional waivers for specific services or access levels as the platform evolves.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you agree to the collection and use of information as described therein.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ALSI Inc. does not warrant that the Service will be uninterrupted, error-free, or free from harmful components. This disclaimer applies with particular force during the pre-launch phase.

Proof-of-Concept Disclaimer. The API, governance layer, and platform features are a proof of concept under active development. They are not finished products. Incomplete functionality, missing integrations, placeholder responses, and breaking changes should be expected. The current limitations are primarily the result of funding constraints — not design failures. As capital becomes available, features will be completed and stabilized. Until then, all usage is at your own risk, and no reliance should be placed on current API behaviour persisting.

No Production Warranty. No endpoint, feature, tier capability, or integration described on this platform carries any warranty of fitness for production use. The Service should not be used as the sole basis for any business, technical, or financial decision.

AI-Synthesized Audio. Podcast episodes and other audio content published by ALSI Inc. are produced using AI voice synthesis via Google Cloud Text-to-Speech (Neural2). Voices in this content are AI-generated; they are not recordings of human speakers. ALSI Inc. is solely responsible for all scripts, editorial decisions, and published content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALSI INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL ALSI INC.'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO ALSI INC. IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless ALSI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including but not limited to AI provider terms of service.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario. You irrevocably submit to personal jurisdiction in Ontario for this purpose.

15. Changes to Terms

ALSI Inc. reserves the right to modify these Terms at any time. If we make material changes, we will update the effective date above. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. During the pre-launch phase, changes may occur frequently and without advance notice.

17. Contributions and External Capital

ALSI Inc. welcomes strategic contributions — including infrastructure partnerships, technical collaborations, research affiliations, and capital investment — subject to the binding constraints described in this section. These constraints are not negotiable. They exist to preserve the structural integrity of the platform and the trajectories we are committed to.

What we will consider:

  • Revenue-based financing with no equity transfer and no operational control provisions
  • Strategic partnerships that expand Canadian sovereign infrastructure and data residency
  • Research affiliations that do not claim rights to governance methodology or benchmark data
  • Infrastructure credits or grants that impose no performance milestones incompatible with our growth trajectory
  • Customer prepayment and annual commitment arrangements under standard commercial terms

What we will not accept:

  • Equity investment that creates board representation, veto rights, or control provisions of any kind
  • Capital that requires growth trajectories incompatible with the Non-Destructive, Infinite, or Sustainable governance principles (P-1, P-2, P-3)
  • Investment conditioned on changes to Canadian corporate jurisdiction, data residency, or ownership structure
  • Capital from entities whose operations would create a conflict with ALSI Inc.'s AI governance mission or competitive positioning
  • Any arrangement that would require disclosure of proprietary methodology, session architecture, or benchmark methodology prior to formal agreement

All contribution inquiries are evaluated against the current executive governance standard. ALSI Inc. reserves the right to decline any contribution offer without explanation. The executive standard governing these constraints is subject to revision at the sole discretion of ALSI Inc. leadership and will be reflected in updated Terms.
